How Many Layers does a Business License in Indonesia exactly have?<\/h2>\n\n\n\n

A Business License in Indonesia is issued in two layers (generally). The first layer is the NIB and its accompanying Sertifikat Standar, generated through OSS<\/a> under Peraturan Pemerintah No. 28 Tahun 2025<\/a> tentang Penyelenggaraan Perizinan Berusaha Berbasis Risiko, the regulation now governing risk-based licensing.<\/p>\n\n\n\n

The second layer is Perizinan Berusaha untuk Menunjang Kegiatan Usaha<\/em>, abbreviated PB UMKU<\/strong>, a set of sector-specific approvals issued by individual ministries. Some PB UMKU items are tracked inside the OSS dashboard<\/a>, but the actual review and decision still sit with the multiple technical units inside the ministry which require specific local approach. The following seven sectors are where Business Hub Asia most often sees Company Registration in Indonesia<\/a> clients get stuck after OSS. Each section below stands on its own as a quick reference.<\/p>\n\n\n\n

1. Financial Services and Peer-to-Peer Lending (OJK)<\/h3>\n\n\n\n

Fintech lending platforms register an NIB through OSS like any company, but that NIB does not authorize them to lend. Operating as a peer-to-peer lender requires a separate operating license from Otoritas Jasa Keuangan, the Financial Services Authority.<\/p>\n\n\n\n

The current legal basis is Peraturan OJK No. 30 Tahun 2024<\/a> tentang Layanan Pendanaan Bersama Berbasis Teknologi Informasi, which replaced the older POJK No. 77 Tahun 2016 framework and raised minimum paid-up capital requirements for new entrants.<\/p>\n\n\n\n

As of 31 May 2024, OJK reported 100 fintech peer-to-peer lending companies held valid operating licenses<\/em>, a figure OJK itself publishes to warn the public against unlicensed lenders (source: OJK<\/a>).<\/p>\n\n\n\n

2. Formal and Non-Formal Education (Kemendikbudristek)<\/h3>\n\n\n\n

Education is treated differently from most commercial sectors. Surat Edaran Sekjen Kemendikbudristek No. 26 Tahun 2021<\/a> states that education is not classified as a business activity under the Job Creation Law, so it does not fully adhere to risk-based OSS licensing.<\/p>\n\n\n\n

Pasal 167 of PP No. 28 Tahun 2025<\/a> opens a path for parts of the education subsector to be processed through OSS using the risk-based scheme, and makes that scheme mandatory only for formal schools located inside a Special Economic Zone.<\/p>\n\n\n\n

Outside that exception, non-formal training providers known as Lembaga Kursus dan Pelatihan need an Izin Operasional from the local Dinas Pendidikan, governed by Permendikbud No. 81 Tahun 2013<\/a>. Pasal 6 ayat (3) gives the Dinas up to 30 working days to decide.<\/p>\n\n\n\n

Once approved, the provider registers for a Nomor Induk Lembaga Kursus with the provincial education office, the national identifier Kemendikbudristek uses to track licensed course and training institutions (source: kursus.kemdikbud.go.id).<\/p>\n\n\n\n

3. Construction Services (Kementerian PU)<\/h3>\n\n\n\n

A construction company obtains its NIB and Sertifikat Standar through OSS, but that Sertifikat Standar cannot be verified until the company also holds a Sertifikat Badan Usaha Jasa Konstruksi, issued outside OSS by an accredited certification body.<\/p>\n\n\n\n

Permen PUPR No. 6 Tahun 2025<\/a> Pasal 7 ayat (4) now governs risk-based standards for the public works sector, updating the earlier framework set out in Permen PUPR No. 8 Tahun 2022. The SBU itself is issued by a Lembaga Sertifikasi Badan Usaha.<\/p>\n\n\n\n

The SBU is valid for five years and confirms the technical competence of the construction business, not just its paperwork. Foreign construction entities operate through a representative office structure known as BUJKA, Badan Usaha Jasa Konstruksi Asing, meaning a foreign construction service business entity.<\/p>\n\n\n\n

A BUJKA representative office in Indonesia must independently hold a verified Sertifikat Standar, in addition to its own SBU, before it can bid on or execute construction work inside Indonesian territory.<\/p>\n\n\n\n

4. Tourism, Hospitality, and Wellness (Kemenpar)<\/h3>\n\n\n\n

Hotels, spas, salons, and wellness centers register their NIB and Sertifikat Standar through OSS under tourism-risk KBLI codes, but the Sertifikat Usaha Pariwisata itself is issued separately by an accredited Lembaga Sertifikasi Usaha in the tourism sector.<\/p>\n\n\n\n

Peraturan Menteri Pariwisata No. 6 Tahun 2025<\/a> updated the earlier Permenparekraf No. 4 Tahun 2021, adjusting risk levels and adding new categories of tourism business that now require standardized certification before commercial operation.<\/p>\n\n\n\n

Large tourism businesses must obtain their Sertifikat Usaha Pariwisata within two years of receiving their prior registration mark, medium businesses within four years, and micro or small businesses within six years, with the certificate itself valid for three years.<\/p>\n\n\n\n

5. Energy and Solar Power (Kementerian ESDM)<\/h3>\n\n\n\n

Installing rooftop solar panels, Pembangkit Listrik Tenaga Surya Atap, for commercial or industrial use requires a separate approval from the holder of the local electricity distribution license, usually PT PLN, not from OSS.<\/p>\n\n\n\n

Peraturan Menteri ESDM No. 2 Tahun 2024<\/a> currently governs this process, replacing Permen ESDM No. 26 Tahun 2021. Applications can only be submitted during two annual windows, January or July, under Pasal 14 ayat (2) of the regulation.<\/p>\n\n\n\n

Installation must be carried out by a business registered with Kementerian ESDM, and a Sertifikat Laik Operasi from an accredited inspection body is required within one to two months of the technical inspection, per Pasal 23.<\/p>\n\n\n\n

Businesses that install panels without this approval risk having their grid connection disconnected by the State Electricity Company until the former comply, a consequence written directly into Pasal 23 ayat (2) and (3) of the regulation.<\/p>\n\n\n\n

6. Manufacturing and Software Industry (Kemenperin)<\/h3>\n\n\n\n

Businesses in the manufacturing sector must possess  an Izin Usaha Industri  under Undang-Undang No. 3 Tahun 2014 tentang Perindustrian<\/a>, now issued as a PB UMKU item inside OSS rather than as a fully standalone paper certificate.<\/p>\n\n\n\n

Software and application publishers fall under Kemenperin-adjacent KBLI codes but are explicitly exempt from the location permit and environmental permit commitments that apply to physical manufacturers, since they operate without a production facility.<\/p>\n\n\n\n

In Business Hub Asia’s experience, this exemption is the detail that most software founders miss. They file the same location and environmental commitments that a factory would, which delays NIB activation for requirements that never applied to them.<\/p>\n\n\n\n

Therefore, confirming the correct KBLI classification before filing is the fastest way to avoid this delay, since the classification determines which commitments OSS actually asks the applicant to fulfill.<\/p>\n\n\n\n
